£¨1£© Where two or more enterprises jointly carry out overseas investment, the major shareholder of the opposite Chinese party shall go through the filing or apply for approval after seeking the written consent of other Chinese investors. If the shareholding ratio of each party is equal, one party shall handle the filing or apply for approval after negotiation.
£¨2£© The naming of an overseas enterprise invested by an enterprise shall comply with the laws, regulations and policies at home and abroad. For an enterprise that has not been approved in accordance with the relevant provisions of the state, the words "China" and "Zhonghua" shall not be used in the name of its overseas enterprise.
£¨3£© If the enterprise fails to invest abroad within 2 years from the date of receiving the certificate, the certificate will automatically become invalid. If it is necessary to carry out overseas investment, it shall go through the filing again or apply for approval. If the certificate is lost, the enterprise shall publish the loss statement in the national new***per and apply to our commission for replacement. After reviewing the operation of overseas enterprises and requiring the enterprises to promise that there are no violations of laws and regulations, the Commission shall go through the formalities.
£¨4£© If an overseas enterprise has been used as a platform for investment, if the enterprise handles the change procedures of the overseas enterprise, it shall straighten out the investment path and clarify the investment destination. The original filing or approval department shall issue a new certificate for each destination enterprise, and the old certificate shall be returned and invalidated at the same time.
